Announcements

  • Two working groups - Finance&Fundraising and Commons - are transitioning to using Slack and Trello for commnication and task management. Members of those groups are especially encouraged to sign up. Invitation links have been sent out to those listservs. Email Laura@omnicommons if you need help or if you want to sign up but are not on those working groups.
  • The Property Tax Exemption application requires a schedule listing of *every entity that uses the space*, with attached federal or state exemption letters. This does not apply to fiscally-sponsored projects (considered Omni), but does apply to individuals and groups renting the space, even if just once. Need state or federal exemption letters for: Phat Beets, TIL, CCL, and GCEA/YES. I have FNB's and CSC's. Send them to jenny@omnicommons.org plz

  • remoteLaura: Is there an update on forming a group to develop the 5-10 year building upgrade and maintenance plan?
  • Gerald: Kitchen remodel project.
    • Joe, Tuan & Gerald met. Took film footage to create a commercial (for youtube?) to ask public for financial assistance to remodel kitchen.
    • Wants official permission from Omni to raise funds. Can't just have any ol person throwing fundraisers in omnis name.. should be a formal process. Accountability..
    • What do we say in this 'commercial' that is ok / legal stuff / messaging?

  • Jenny: Kitchen project was approved by fundraising WG. I believe Matt and Joe put together a budget for a Kiva Zip loan here: https://docs.google.com/spreadsheets/d/1m4tsKXAMUNxd3j_yjOyT_YHavSRUGRAdrPUaRscIs1k/edit#gid=0 - highly recommend, but Kiva Zip will probably cap any (interest-free) loan at $8-10K, so we should go for a crowdfund... think emphasis on FNB & CCL outreach would make this an easy ask.
    • joe: Yes, FNB would love to move this along. I will seriously give myself a good kick in the butt.
    • marcus: so AV hasn't had a serious talk about what to do with the funds raised, but could that loan just get repurposed into that, and that group manage repayment and such?
    • jenny: no unfortunately, it's really bad accounting practice, would potentially disfavor us with kiva, and also we need well over $7500 (more like $75,000) to upgrade the basement kitchen

Finance

Meetings: Currently conjoined with Fundraising (Mondays at 6pm)

  • (via jenny) - Brief summary of 2017 budget that was sent to 'consensus' list last week, updated today with 2017 actuals to date: (budget doc is here, summarized below: https://docs.google.com/spreadsheets/d/1rvkMc5lmd8PovoViNLdvlrv0tSyvrH7iB0SmGqaFec8/edit#gid=1673282501 )
    • Currently in accounts: ~$45K
    • Currently due as of Feb 16: ~$25K
    • Jan income was ~$42K including the $32K surplus from the stock donation. Expenses were ~$9K.
    • Feb income so far is only $3,700, half of which came from events and recurring donations. Only 4 collectives have paid their February invoices which were due the third week of January.
    • Expenses for Feb are just over $25K which includes about $12K in loan repayments immediately due, $4700 to Jesse for a portion of the fees we owe him, the mortgage payment of $5677, PG&E bill of $1100, $700 for Jan & Feb Waste Management bills, and nearly $1000 in insurance payments.
    • Highest outstanding invoices include CCL (~$5000), Sudo ($2400), YES ($1400), Phat Beets (~$900), with an outstanding invoice total of over $25K due March 1st.
    • Subsequent monthly expenses total about $15K until July, when the bulk of emergency loans have been paid off. Only then will our expenses average at or under $10K.
    • Projected monthly recurring income for the rest of the year is slightly under $10K/month, *including* an estimated $2K/month in event rentals
  • Basically - plz continue to pay your invoices on time or early, raise donations for Omni at events and online, spread the word and ask members of your collectives to help out in working groups. Apply for grants. Solicit high-paying event rentals. Pray.

Gerald & Spinach's cafe proposal

  • Spinach wants to start a cafe now that Agua Viva has dissolved
  • An option inbetween fast-food & $5 coffeee.

  • Is it legal to just open a cafe in there? What does omni need from folks involved in this?
    • Lynn: Need a written proposal

  • Jenny: Let's set up a meeting, we (AV) can go over all the deets of opening a cafe. Would encourage that you invite Niki to join as a partner, fwiw, tho she's currently super busy w/ baby.. also Marcus ^_^

  • Jenny: here's a quick punchlist - business license, accounting software eg Xero, register with the Board of Equalization, submit fictitious business name, 5-year budget, mid & final inspections for building permit and pay labor costs to fix plumbing, electrical. business plan, ~$10K in funding.

Proposal to add Lynn Howe (President) and Brian Feraru (Treasurer) to the Legal listserv

  • Our President and Treasurer should be able to see and weigh in on communication with Jesse Palmer, our lawyer. They should be added to the Legal listserv where our lawyer, Jesse Palmer, communicates with the Omni. Because of confidentiality, only people who have been approved by the delegates to communicate with him can be on the listserv.
  • When these two are added, anyone who is no longer actively involved with managing the Omni should be removed.
  • If possible, this proposal should eb agreed upon at this meeting so the officers can participate in ongoing legal communications.
  • Friendly amendment: Splitting this proposal between adding Lynn & Brian to the legal list, and removing unnamed parties from the legal list. People who are getting removed should be named before voting on that.
  • I can see that jenny is writing the current membership

Proposal to pass resolution to support Ghostship disaster relief

  • From DK
  • Omni was approached by survivors of the Ghostship fire to distribute through our 501c3, a fund they raised to help them cope in the iterim, since funds from the larger organizations (Gray Area, Raiders) has been held up for a while.
  • This is the Reina Lam Fund: https://www.gofundme.com/ghost-ship-fire-residents-support
  • Amount they raised for themselves is $31,819.
  • Omni Finance WG was consulted on Monday to vett whether taking this on would be OK with them. We decided that if there was a way to distribute the funds that passed our lawyer Jesse Palmer's muster, we would do it, with a minimum 3% fee.
  • Jesse reviewed what would be required and legally it will require a resolution of the Omni board, which Jesse prepared for review at the Delegates meeting.
  • It will also require:
    • create an application form for relief and ask all of the GS victims to fill it out.
    • there would be some type of income question on there. I think signing under penalty of perjury with a right of Omni to review proof is good enough - they don't have to submit tax forms, etc. if you have a right to ask for them.
    • there would be a question about what they were going to use the money for.
    • collect their name and address and the date of the fire.

  • Jenny: but maybe we should use the OOC 501c3? that's a question for Jesse, no need to bog down the meeting but we should think on how we want to use the old omni 501c3 for good. i'm on top of accounting for both and working with Brian so he can take over.

    • jnny: typically a fiscal sponsorship contract is canceleable by the Board at any time, and remaining funds received on behalf of the project collectible by the org in the event the organizing committee of the project ceases to function. I do not see this clause in the resolution doc, but it's typically added to the fiscal sponsorship agreement
  • Q from jenny: were funds raised in 2016? - nm, i can see they were (the GoFundMe was created on Dec 3rd). just for accounting purposes heads up... trying to finish 2016 statements for late-file of property tax exemption app
    • DK > Joe: The fund is established indefinitely until we have another resolution ending the fund. If another disaster happens, we can use this resolution to allow for helping other relief efforts.
