City in Motion

  • Phillip - I have various soft commitments to the bridge loan. Right now its a 3 year loan at 12% interest. Jesse is working on a LOI. There’s a possibility of raising over 900k to cover renovations, like bathroom and kitchen
  • Cere - I don’t understand the value proposition. I’m also talking to a potential buyer.
    • William - we desire to keep it off the market, keep building from being destroyed.
    • Patrik - Phillip’s proposal is not a sale. Current 501c3 would be replacing all directors with CiM. Jesse was instead proposing to hand over all event spaces to CiM, not the entire board. What is required by your lender, Phillip?
    • Phillip - the reason Omni has been denied loans is based off its collective structure. The governance does not work out. I can’t bring my team in and then be at risk of them getting immediately voted out.
  • Yar - [I support you?] if you have the ability to save the building from a wrecking ball, and you can carve out space for CAST. I personally don't understand why City in Motion needs to control.
  • Phillip - repeatedly have said that I want to ally with CAST. I have been giving them updates on this entire process. They cannot agree to partner at this time. This building is a massive liability. I don’t want that all on me
  • Cere - what are the specific agreements and premises?
  • Phillip - working with Jesse on a LOI. I don’t see any unalignment between CiM and your charter, so no changes needed there.
  • SR/FNB/CCL all offer ability to do 30% increase
  • want built in protection in LOI, protect against CiM selling the building after board transfer
  • Toan - Phillip, can you clarify what you think of mutual aid. Do you see this being a part of the building going forwards?
    • Phillip - food distribution would not need to change. Hope 5/10 hours of the day all going towards mutual aid and charitable activities.
    • Yar - I would caution against reinventing the wheel. FNB could share how they do their work now
    • Phillip - my purpose is not to tell others what to do, but enable people to do their work

  • Toan - not an option we want to consider at this point, CiM proposal gives us more time
  • Yar - personally, I don’t think any equity belongs to the collectives. I think any proceeds should be donated to Sogorea Te. Omni collectives failed to protect the neighborhood from colonization. Who is left in this room. This board of 4 people is maintaining a legacy that 100s of people have been part of. Who is being represented?
  • Patrik - it's hard for people to keep coming to these meetings

Paul Dresher

  • Paul - my org “Open theater project”, offers rehearsal (space?) for 25 different groups. Looking for a space to buy. Sarah L was our business manager. I have not spoken with CAST. “New Performance Traditions”. We offer 6 residences a year. Associated with Counterpulse. We have substantial amount of cash on hand. Our current space is in West Oakland, and the owner jacked up the charges, making our business model tenuous. Our org exists to serve other nonprofits, as per its mission. The current work of the Omni Collectives is within our realm to work with, as long as we could make the financials work out. We would not be interested in working under Omni’s governance, so you would need to be confident that we are trustworthy. We operate in perspective of balancing income, and make immediate improvements when needed. We would want full control of the ballroom
  • Patrik - our main priority right now is only to stay in the building. If you think you can liberate 900k, we would love to see a proposal. None of the existing orgs depend on the event spaces.
  • Paul - what’s the electrical power in the building?
    • Yar - not 3 phase, but once the roof is done, really great opportunity for solar
  • Paul - hoping to have a site visit on Monday.

CCL/SR in favor of continuing discussion with Paul. FNB abstain.
