- phil - conflict between troy and dane. i decided to step in
- toan - concern about hoarding books/ taking up pathway. we talked with troy. memory problem, and is open to being approached about it. also talked about bringing in more books, and he gave word to not bring in any more until they are organized.

- jake - bedding can come up at any time. but thats last on list of important thing, i.e. fire extinguishers, if exit signs are out. really easy things we need to be more thorough about. really important, low hanging fruit. concern about emails still getting sent out. also goal to increase capacity in the ballroom

- philip b - 2124, my understanding is building has been here 100 years, then theoretically can be another 100 years if people drawn in
- philip b - i am ignorant on most history of omni, speaking anecdotally, from my understanding by working and throwing events here. want to share what ive observed, and a proposal of a new structure of responsibilities, planned potential...
- philip b - at first glance not put off by this building. outsiders see neglect and think lack of care. if youre trying utilize space, even though below market, does require extra man power for people to use the space. discouraging to people who come by who want a quick place for a meeting or an event, if they arent self starters. maker culture, self starter is common here, but a lot of people on outside dont have that bandwidth.
- philip b - my perspective - failed to achieve relevance, boycott that got leverage based of historical issues, but talking to other people, many dont know of place but those who do are not aware of the boycott. even at dispensary owned down street, havent heard. my impressions -
- philip b - currently - collectives focused on what they are doing, and volunteers trying to take care of the day to day. but no person clearly who is responsible for certain things. collective responsibility but no one person accountable.
- philip b - my plan - separate all those responsibilities. omni is still collectives, 5013c charity. while new org takes on responsibility of the building, growing capacity, management, day to today. omni still collects grants and can help member collectives get grants. like now, with our grant writer overall. all that pays rent to property org that provides space and equipment. goal eventually, building could be giving grants out to the rest of the community, those we believe in what they want to have impact on.
- philip b - ive been observing slack and emails with opinions on what to do in building, resulting in hacked together solutions or budgets that dont get it done.
- patrik - sometimes we approve a budget then its never executed
- philip b - anecdotal, omni has lack of ability to be a general host. also what im hearing is lack of ability to police within their own groups

- philip b - deescalate conversations, making sure people are heard. jamal did great, but he and those like him arent the majority in these spaces. theres no one who are neutral, or those with specialized skills to do this. or at least they are the minority
- philip b - building stewardship completely owned by a separate group than omni. not that omni cant volunteer in that, but separate group to manage funds, manage the day to day. also a lot of opportunities for future growth, because this could be jobs for people if funding is there. lots of tasks to be done for those who need extra money
- philip b -issue in 1 to 1. if drift in populations in orgs, tiebreaker useful. if there are 3 votes, have a tiebreaker. any proposal to do something with building, or spending money, if one says yes and no, need a complicated stalemate procedure, or you have a tiebreaker. ive seen some issue in pp leadership that i still dont understand, but a lot of value of them already being in the community. in omni - daytime vs nighttime separation. stuff lower on the community impact side. seeing this place empty - i want this to be filled immediately
- patrik - both pp and city in motion are proposing management of the building and of event spaces. how do you reconcile that?
- philip b - a quick vision, omni, PP, and city and motion get an organization space. well idk that omni needs one. exhaustive list of responsibilities. first come first serve of who ever gets in done. but full legal of who responsible for what. control of revenue, equity that needs to be figured out among proposals
- patrik - have you considered how llc will affect property tax?
- philip b - llc essentially could just be hired to do that. any 501c3 has to hire. one option if we want to keep that exemption
- patrik - events would need to be nonprofits
- philip b - i have a friend interested in religious exemption for community focus
- philip b - my suggestion, if concerns about power or control, tiebreaker is important. while 1m is needed for foreclosure, building also needs another work. one option is PP brings in their amount, i bring in mine. i could maybe do the whole $2m with my full network.

- philip b- aim here, past few months. ensure space is easy to use. right now its not for a myriad of reasons. volunteering and contributing to the space is not as easy as it could be. and getting help. if the omni commons is known as a place you can use what you need, get help. also improving transparency on how you get involved
- philip b - what experiences you can have here, what the space is used for. events, if this building owned by neighbors, it would look nice but not accessible due to price. concerts, film festival, taps into live producers and bookers. omni has contacts of its own asking about capacity. maker fares. mark of the beast in april. annually regular thing with a specific focus. activist focused meetings. having meeting space that isavailable and safe from prying eyes. in san diego, in group on california propositions. diverse group such that their was an expert in all of the topics. space * - want to move into rental by the hour. right now its rent and get exclusive space. in other spaces you rent hourly, can use space but need to be able to move in and out. the kind of people in the space need to know how to respect others belongings. i know some of the spaces have an open door policy
- yar - how can you tell if someone is type of person who steal things?
- philip b - you cant. back to accountability. not checking first time on but ensure accountability when issues arise
- phil (fnb) - in past few months, public areas have really improved. problem collective issue. like basement, and sudo room bathroom. way too much of my time here is spent outside. i did leaves outside, but constantly get here and its all trashed, then when i leave gets trashed again. refridgerator a problem all the time
- philip b- if successful getting space filled, larger volunteer pool. normal part of day to day life
- phil (fnb) - yea trash can out there for a while but it disappeared
- eric - long term goal if we can petition city to have municipal trash on the corner
- philip b - everyone in omni been putting in what they can, not anyone's fault, but this is a secondary thing to your daily lives. having the badwidth to maintain all of this is a lot. really depends on how many people in the space. some metric of 10% able to help out, nothing wrong with that, just requires more people
- phil (fnb) - since ive been paid. any efforts of others to clean the bathroom has disappeared. and the microwave in mezzanine
- philip b - also use of the space, is people starting careers. i.e. massage,therapy, or someone wants to make a new peoples programs, or omni commons. libraries are one place to gather but as someone who has worked in startup side, working alongside those
- philip b - what people should get from omni commons- educational, healing support. going off what i know people can benefit from. city of motion, martial arts and dance styles available. i believe these things are very good for folks, and when i hear people say trying one and not liking it, my response is maybe you didnt like teacher or style etc. help find what cliques. if restaurant fixed, availability for line cook training. ratproofing and fixing kitchens would increase ability and.
- philip b - art therapy, mediation. people on retainer. better if we do retainer for legal advice, therapy, financial advice example nolo. if someone in building or on call.also space as temporary shelter. ive been part of pride shelters, people need a space to exist.

- tuan - how do you make events accessible to community? i.e. notaflof.
- philip b - already in dance, disability accessibility. included form notaflof. i dont do sliding scale, dont want people discussing that in line. we always do a form, accept all those who fill out and cannot afford
- patrik - completely possible pp might turn this down, is there interest in 50/50?
- philip b - yes, i didnt know what the timeline was originally. if you decide to go with pp i am still excited to bring all of this in.
- patrik - my understanding is they have to talk back to their trust, see what is ok with their donors
- philip b - i am wanting to present a business plan as a separate entity.
- patrik - would you think of tenants in common?
- philip b - yes, i didnt want to go into it yet. im happy to talk about specific details, but on a range, city of motion is an owner, omni tenant, or vice versa
- patrik - yes presumably something wanted in return for bringing in $1m
- philip b - revenue makes a good sell. i mostly just want to see this exist. have seen this similar thing in other centers. people trying to run it just can keep it here. thats been my career as a volunteer personal life and as a worker. most important, what can we all accomplish together.
- patrik - shouldnt have said 50/50 earlier
- philip b - timeline, by end of january, ideally for getting this moving want decision end of january. debts transferred and handled in feb. march start working on building. tertiary what are everyone dreams here. if building fully utilized, money paid to own building outright.
- patrik - how much confidence do you have to pull together financials to beat the foreclosure.?
- philip b - i am looking for who will offer the best rate. i dont imagine an issue, dont want to see developers . a few were talking about selling building in 5 years and i stopped that, not what it is about
- patrik - so proposal, is you all get a loan and take over our loan?
- philip b - yes, 1m to become new debtor. and either pp okay with splitting, they bring in their 1m
- patrik - if that case, not a tenants in common, expected to be repaid
- yar - so city in motion part owner?
- philip b - yes proposing multiple cases. 1 option, omni becomes a tenant, to city in motion a hired entity. little more complicated if split with PP. i see regardless, always a problem with 2 orgs together, tiebreak issue. stagnating is something i would like to avoid.
- patrik - between investing 1m vs 1m loan, very different.
- yar - who are the other people in city in motion? are they local, would we work with them?
- philip b - i started it, im in charge

- philip b - they jump in and do advisory and work. tap in and help each other when we need to, like a collective

- philip b - I dont think so. we have attendees and volunteers. but in terms of core team, shared in what we are trying to accomplish. disagreements but not conflicts to what ive seen here. a lot of us have been through challenges together, but very open communication. ive been called out for things before and adjusted

- philip b - i guess... but with everyone volunteering. for events, i do produce, but for community events everyone is tapping in to it. i initiate stuff but i dont tell anyone. i am not trying to make money. not making money off the events. if can make
- yar - why isnt a 501c3 already then?
- philip b - im looking at 508 after talking to someone who is an expert in that stuff
- patrik - how much expertise do you have in running a building, .
- philip b - firehouse had that, sd makerspace i helped out with. father built some commercial stuff, habity for humanity
- patrik - but something city of motion has done
- philip b - not in this scale. but connections. lead architect on project in ventura, managing an accelerator. giant office space with many startups together. had some conflict. whiteboard stuff. penny pinching, tried to resolve conflict there
- patrik - im still not clear how this would jive with PP. if you are talking about a loan, then not 1/3 1/3 1/3. if you are doing a loan you wouldnt get share of the building.
- philip b - as long as there is a way to pay off debt. omni needs to pay off money regardless. people you are loaning from now looking for way. could be equity in the building, or control of the revenue. im looking for best way that i can leverage my network to help out. at first it was just to help revive the building, but now given this circumstance is has changed

- philip b - yes, this is just what i am thinking as a vision for the building, but ultimately that is up to everyone in community space. despite my experience, i am just one person. ideally if collective here, you want to contribute to space, then makes sense to keep doing collective decisions. i have expectation that accountability equitable vetting and decision structure changes such that it can be exploited so easily. create a singular voice for omni to speak of

- jake - want to remind that i am still working on door access. proposal seems well fleshed out but if more concretely spelled out in way delegates could actually consider,
- patrik - things like loan or direct investment
- jake - i dont personally know which one is more realistic for us, if you can give us concrete one
- philip b - if equity in the building included, easier to reach the $2m. my pushback, omni has done nothing to increase value of the building. value increased from socioeconomics. doesnt make sense to take advantage of that. i can try and draw up next week structure and pros and cons
- jake - i think delegates are more likely to do something if it is spelled out in particular instead of expecting them to ask appropriate questions
- philip b - i have a lot of visions for those living in crisis from personal experience, but also for those who want to use space.
discussion about meeting tomorrow
- jake - conflict with silver, how omni has been pushed in various directions. didnt attend meeting on the 21st partially because before meeting silver sent me j's phone #. after explaining my situation and different perspectives that were seen. explained what his priorities were. very important for him is not to have backchannel communication. i just assumed he would be helpful moderator but next night at sudo room meeting. something came up. conflict description about instagram post. silver told me that j. didnt like me so i was thrown by that because i didnt expect that someone who was acting as a mediator would go back to silver with that info. i was confused and lost confidence because of that. i understand that silver selected this person and put me in contact. silver backed me up into the laser cutter.
- yar - silver wasnt going to physically attack you
- jake - then why did paige stand up and physically get between. the point is, this is experience around silver and j, still having faith in him being a neutral party. did another call. confused by what silver had said to me. immediately went on the defensive and jumped at my wording. said that i had something on hearsay. distraction from the fact that he had talked to silver about me and said these things. wanted elaboration on what he was upset with, didnt have confidence. seemed like there was an agenda. concerned he was acting as an agent of silver and said it was a microaggression. he asked why i said that and it was because silver gave phone number and talked about phone call. i tend to get painted as a villain in these interactions omni has been having. thats why i didnt go. but after hearing about event, i dont think it is what omni needs. been described by different people as different things. i dont know what the origin is but my understanding is silver said. i believe greatly in what accountability is but ive been seeing it as a one sided thing where people can attack others.
- tuan - jamal never stated acting as mediator, but rather as a facilitator. mediator was only mentioned when he said people were questioning his skills. always good to be a neutral facilitator, but is different
- phil (fnb) - facilitator is not supposed to be in favor of one party or the other
- eric - have you since have had contact with silver?
- jake - im not going to say i dont feel safe around silver. i dont know what standard is for that. ive known them for a number years. since clp thing i think silver acting out of unhealthy __ and is unreasonably taking action that affects other people in ways that are not normal for coordinating. also concerned about media lab proposal for that reason. silver becoming a delegate that maybe the only person in charge

- jake - i dont know what it is about, and i feel like i will be targeting as a villain in same way CLP stated i was. i dont think i will be physically attacked, but vilified and distanced from my community. doesnt make sense that i would go
- silver - quickly name more context to what jake was sharing. i was asked by paige to attend that meeting. there were lots of allegations on pp. i was saying how can we put them to that standard when we cant do our own standard. so i used example of jake threatening to say i was zionist in response. jake was saying that message was about him but it was not, it was about leadership. at that time in my head, yar jake sarah me call a lot of shots, want to be accountable to that. had a 2 hr meeting after, we all agreed to step down and communicate that to everyone. jake then didnt want that to be shared, because it admits false harm CLP was spreading. so statement not shared. jake said you were talking about me, but i wasnt i was talking about leadership. in the past, lot of credibility goes to sudo room, and jake. not equity to what i do, invisibalizing by labor. lot my cool so i was yelling at me. jake seemed like he was wanting me to fight him. nobody flinched. broke down and crying. before i said to consensus i said i wasnt comfortable with jake threatening to say im zionist, but nobody said anything. so i was saying there was a double standard. if you are going to use this as a way to block media lab, really sad because a lot of labor in there past me. a lot of people want you kicked out, and personally i dont want that. you can put things out of context. jamal didnt appreciate that you were speaking on account of black people to a black person. i dont have answers that is something shared. i dont know jamal, he was suggested by someone else. but he really wants you at the meeting. people are allowed to say when they are uncomfortable. he didnt say he didnt like you. but jake threatening to say im a zionist. important for all of us to show up. i have been in mediation with other people who want to actively ban jake, and i dont think theres grounds. we need 1 2 3 pod sessions. i think all of us have things we can share. i hope you can come tomorrow jake. but i want you to stop saying i physically harmed you

- patrik - we currently do not have a functioning conflict resolution process, but i still believe delegates meeting is not the place to do that
- jake - im not asking about follow up, this is just a concern in terms of this events
- patrik - i dont think it came out of nowhere, came out of many meeting discussions about accountability. there were enough people who thought this was something we needed to do urgently
- yar- restorative justice is only thing that will solve this problem, and means we all show up the table. cant keep shoving this into smaller meetings to. work of restorative justice is entire community shows up. keeps dragging up because we keep not do that. we could opt to not use restorative justice, just ban people, select a dictator to tell us to wins. but restorative justice requires us all investing in it
- patrik - cant have entire community engaging every time
- yar - an alternative is having a higher standard for how people behave, thats not working
- toan - volunteers getting someone to help us, but also need to address jakes concern. he feels he might be targeting today or tomorrow. we need to acknowledge if we will step up if that happens

- yar - we can talk about my email to sudo room, but we hired jamal to help facilitate a meeting. in the course of doing that, he went above and beyond what most facilitators have done in the past, by pregaming it and talking to those who would be there. in the course of doing that, it became apparent to him that there were deep conflict. and he is willing to help us resolve those, and i dont think he is doing it in an authoritarian way. coming in with bias in that he is a gay black man and will call out bigotry if he sees it, but not in a way that he likes some person and others
- silver - jamal never said he didnt like you but said uncomfortable with you speaking for black people. i shouldnt be person to have communication because i have conflict, but who should be talking to jake? jamal has feeling and honor that. he really wants you at meeting and wants us all to talk to each other. i have sat on many meditations., this can be space where we can all witness one another

- yar - i am in support, not because silver is my friend, they are even stepping back. media lab is one of my favorite things happening in omni.
- patrik - there has been big improvements in the basement from media lab. any changes from the proposal from last week?

- eric - we have gathered pledges of $130,000. a couple structures suggested by lawyer. one that seems more feasible is fewer donors, something like $30k base. repayment structure. bridge loan with amortization of 30 years. matter of putting ourselves in front of more people. hard to get pledges without being able to present details. a lot of times lenders have complicated irs already and lending can add more complexities to that. this amount of money i believe is latient. lawyers says forming llc would take 2 months. he has done this before, and raised in excess what omni does
- patrik - but should be soliciting pledges before that

- jake - just worry that asking without having a way to move forward requires you to ask much more carefully. if they say yes, and then not prepared...
- yar - that doesnt seem like a problem, just say ok, we will contact you as soon as its ready

- jake - if 5 years, lets say after 4 years some lenders just want money, but other want to keep going, can find others to buy them out
- patrik - worry of 5 years not being enough time
- jake - 5 years is easier to get people on board with to lend, but can decide something else. ultimately llc is separate from omni. omni is not able to advertise it. separate entity and can do whatever it wants.

- silver - one quick question, back to the money. this is most alarming ive seen it. quickest and easiest way to make money events and fundraising. if people can join different working groups. patrik have you sent out newsletter? need to be sharing the givebutter. omni working groups disconnect from rest of collectives. past meeting notes, important to have members in the working group. those two groups need all hands on deck
- patrik - easiest way is renting out spaces currently empty
- yar - not easy if looming threat of everyone getting kicked out in 3months
- yar - again PP is my first choice, because LLC is second because it buys us time to see what LLC looks like. 5 year bridge loan concerning. omni has a lot of problems, boycott, conflicts, budget chicken and egg problem, but fundamentally biggest is uncertainty about the future, prevents people from being willing to invest or get involved. llc will be putting us in a better position, but longer the term the better. should be just kicking can down the road
- eric - next meeting in draft i will make a sandwich board of different options
- patrik - we should still consider refinancing with a bank after property taxes sorted out
- jake - to do that we need property tax resolved and good monthly income
- eric - all doable.

- yar - my proposal is get someone else to do the work. peter talking about donor fatigue. im saying funding paid positions is way around it. ask people to fund an executive director.
