- yar: TANC doesn't want to move to omni. no initiative to move in, they created a wg, but in january said dont recommend it. doesnt seem anyone wants to take it up. room is vacant, and someone wants to take it
- pallavi: i know people are precious about that room, but if nobody wants to rent it. any amount you would lose is not significant enough to cancel our debt. in sarahs email about property tax, would be nice to have someone move in by the 15th. so nice to have deb gives in as new group, attractive to inspector. show empty rooms being used to some capacity. would like to vote deb gives in by the end of this meeting, to have in before the 15th.
- alex: is this for rental or membership?
- pallavi: wants to be a member, you can see they are here, they are committed. last week it came up all of these different changes to membership model. shouldnt do that while we have an applicant. also have to consider timing, good to show we are doing outreach to community work that deb gives can offer. property tax exemption - need to show we are using the building for charitable causes. hard to say that when areas are being unused

- patrik: for future, we need to have this documented better. essentially becoming a board member for a non profit owning a 4mill dollar building. short notice for becoming a board member. any other questions for dom?
- marc: ive been trying to find more information on all cool stuff you do. wondering what history is? look like you are ramping up to do something, website is very new. last time you said you want to use space to __? will you have volunteers or paid employees? how did you get here, to have full time?
- dominic: we've been doing work since 2018. start with serving homeless and unhoused on willow street. we have a studio back there. all bay music magazine. we've done work giving food, medical supplies, clothes, really pulling up with me collecting things from friends, campaign of it, documenting that, and doing that in my moms legacy. she used to give to her relatives, people in her need. want to continue that legacy. thats my team. work with kids, lots of music inclined people on our team, artists who are musicians, DJs, music professionals. want to introduce that to kids. also do backpack, back to school giveaways. want to use this space to really bring that in. we dont have a space of our own. when pallavi introduced this to me, wow, lots of space and groups doing things we want to do as well. thats what brings us here. need an office so people can be participant, come and volunteer. do have capacity and bandwidth to it

- dominic: both. want people coming to the door, knocking to see what we are offering

- dominic: yes just got that letter of determination. we are official
- marc: really cool. are you funded by grants or donations?
- dominic: everything so far money from my own pocket. i wear many different hats. this is one i want to wear right now. pallavi known for a long time, grant writing professional, shes going to handle our donation efforts, sponsors. im going to lead on that.
- toan: how many members do you have?
- dominic: 4, me, pallavi, myesha, and my cousin
- dominic: used to be on 45th. also used to be on 63rd. i know this neighborhood, where we are from
- marc: dont want to throw spanner into it, but concerned that you were not introduced to the mess omni is in. dont want to put you in situation where you are angry about being brought into this mess
- dominic: dont know exactly whats going on, but pallavi told me some. i want to help with current situation if i can. 6 months?
- patrik: we potentially have much less than 6 months. [gives update on foreclosure/trust situation]

- patrik: someone put in notes 260sq ft, i think thats in ballpark
- dominic: amount for renting space. im also interested in renting that space with the window here in the basement.
- patrik: also depends on how much storage space, theres a lot more space in these of course

- yar: i was saying, in terms of omni, would be better for omni, considering if you are offering 300-400 dollars. if you want bigger, worth it for omni to give you that discount, because it is sitting empty. so up to you dominic, im not voting not a delegate
- marc: another question, is if you are able to pay rent. but sounds like you are able to fund off personal funds til grant situation?
- dominic: yes
- pallavi: im going to pursue a east bay community ? fund for deb gives. i think time period for that is 3-6months. but thats the plan for more funds for deb gives this year.
- marc: sudo mesh, not able to make the decision this week. i think i could make decision on just renting today. i dont know if it has been explained to dom, what difference is between renter and delegate. as renter you can participate in meetings, just you are not a board member. board members use a consensus - 1 voting. basically, you dont get a veto til you become a board member/delegate. if you are willing to wait but do everything except have a blocking vote, we could make this decision now
- dominic: probably would make sense to do that, we still get information, can still proceed what we are going to do. and it would speed up process of making a decision. that would be great.
- patrik: either way would need to draft a lease agreement. CCL would like a week to discuss. john said LL okay to abstain. do you have any events this week we can check out?
- dominic: not this week. we have a popup event, do open mic, have local artists, celebrities come, network. been doing this 2 years every wednesday. would like to work with event staff. one part, other part doing youth program during day

- dominic: we are a startup. established since 2018. been doing work by myself. been getting more people to help, now found pallavi to make it a reality

foreclosure process

- General Outline:
- Lender sends a letter to the Borrower demanding payment
- 30 days later the Lender can file a Notice of Default
- Borrower has 90 days to "cure" or find a resolution
- If no cure, the Lender gives a Notice of Sale
- 21 Days after Notice of Sale, the property can be sold.
- Lender may be the only buyer
- Higher bids may be made and original Lender may accept one.
- All cash generated in the sale goes to the original Lender.
- After Sale, 3 Days for Tenants to move out
- If tenants do not move out, eviction process begins.
- pallavi: donna is familiar with omni's situation. foreclosure information. there was alot of misinformation about what would happen if foreclosure. to be clear, the trust who owns our debt, they are the ones who would be in charge of getting a bid for that debt. and whatever the highest bid is, they will get that money. it will not go to the collectives. there would be no equity by omni, all owned by the lender. highly likely to happen - go to highest bidder. need to make sure that we avoid that outcome at all costs.
- patrik: confused, contradicts two other sources, i think including our lawyer

- jenny: $1M of mulberry trust contrib was a pure donation, so that belongs to omni 501c3 (50% of bldg purchase cost in 2016..)
- also, Omni Commons is technically the owner, not Mulberry Trust (the lender. we have approx ~$850K remaining owed, iirc) [adding tidbits for posterity + Donna's reference]

- G: shes been doing tenants right organizing for decades, started in tenants rights in chicago. recently worked with shadetree. lot of experience, also in legal
- jenny: i don't think anyone doubts donna's credentials, but maybe needs to get on same page re: ownership structure of omni..
- patrik: also we have recently decided this is least favorable option, foreclosure
- marc: also, want clarification. if foreclosure announced, 3 months. can we sell in that time. if they initiate kicking us out, at that date do we stop owning the building, or 3 months later

- silver: she's down to work. i was intern for her. shadetree affordable housing in marina . i reached out thinking she was bookkeeper, said she doesnt do that. shes asking around, willing to help us out for 1-2hrs a week maybe free, but should offer to pay.

- Silver: we've done this hiring process before, have a process we can fall back on
Fundraising
- pallavi: had a meeting with Radiant Strategies, connected to Donors of Color network and a bunch of foundations and philanthropy. they gave me a lot of different leads on different donor networks. womens' DN, battery powered, solidaire, silicon valley / east bay / SF community foundations. maybe possibility labs to help with fiscal sponsorship infrastructure, backend management. also met with SFF grantmaker. she can recommend us for $20k rapid response for movement building grant. 3 weeks, targeted to pay salaries for operations development marketing, interim ED. SFF expressed a lot of interest in seeing a change in leadership structure. they said if that was part of the proposal, and more POC in leadership, that money would move really quickly. jackie hasa said if we could get one other funder committed, all she needs to see is a note agreeing, and they'll release another 50k capacity building. that'd be 70k within the next 3 months. we could use that to actually hire someone to help us get out of the current problems. that'd be my commitment. in terms of scope of work on my contract, i'm still adding to the grant calendar, but my scope of work has changed from that to trying to get immediate unrestricted / general purpose funds. anything that'll make it easier for us to do business. i have a lot of leads. gonna write up a change in scope of work for the rest of my contract, to shift towards supporting capacity building development and managing these grant contracts that'd be coming in. want folks to help - i can make initial narratives but need input on the actual language i'm using. it'd be a limited space, SFF is low barrier trust based grant, they won't look at our finances, building history, etc. just need to know in the narrative something that'll give confidence that we're stewarding a fresh perspective on how to steward community, and moving away from trappings and mistakes we've made in the past with our current consensus-1 model. along with this money,
we need to have conversations about what leadership structure looks like, what an interim ED would need to do in order to move us into a viable proposal for stewarding the building.
- patrik: do we have any ideas on what specifically they want to see changed in terms of leadership change?
- pallavi: going to work with donna to write up. but one suggestion, after 4 meetings of delegates not coming to consensus, could go to executive decision by interim ED. she was basing that off of other models shes seen at other orgs. but all open to suggestion, we need to come up with what that model should look like. we should get some writing from her on best practices
- patrik: i haven't witnessed that scenario too much. not like delegates have the same discussion week after week on the same topic. sometime it takes 2-3 meetings to take a vote, but once we have a vote we stick to it.
- pallavi: ive gotten impression that is not the case historically
- patrik: we drop the ball way too often
- pallavi: need that in writing, executive spearheading those conversations, making decisions when ball dropped
- patrik: definitely ED should be able to call for vote. currently anyone can do that
- G: one example, cant agree on accountability. response to boycott. also cant agree on moving forward on any foreclosure proposal. leadership important for donors, CLTs, want to look at our structure. right now nobody wants to support because it is messy
- patrik: hat part looks messy
- G: interim ED would steer a lot of discussions. most orgs with solid board, that could be solution. delegates board here, but members switch a lot. and lot of transparency which is great, but with everyone seeing, can see how decisions not being made
- yar: this subject deserves a lot more time than available. we should have more dedicated meetings to talk about overall governance structure. every point being raised could be whole rabbit hole. retreat yea,
- G: agree with you, for long term stability of omni, thats importance. but for urgent need right now, ED quickest solution. but no funding. Pallavi working on getting unrestricted funds, seems like best solution
- pallavi: working really hard.. scraping every contact in my network
- patrik: im not convinced we need an ED, anyone who can be a reliable point person. and that person can have recognizable title for outside world to recognize
- pallavi: reason we mention ED is because thats what outside world, land trusts, want to see and have confidence in. needs to be a W2 position. cant ask a volunteer board chair to do all this liaising with land trusts
- G: unethical, exploitive to have someone do that volunteer
- pallavi: yeah it makes us look really bad and dysfunctional to not have any leader on paper
- marc: it's kinda the values of our org. new organization coming in. values shared across org, one thing shared has been anti-authoritarian.
- jnny [in notes]: this sounds like 2 people making a hard case for interim ED.. with most collective reps wary of it.
- pallavi: ways to in practice do things that align with values that have a certain organization that people can trust. how it is right now, people can read our notes for years and years. ways omni running right now, SF foundation told us, hellman, way running now will not get funded. omni to get funded by donor network with title of having someone being interim ED, able to move forward certain decisions and conversations, dedicated person to consolidate all the information. if you really want to keep omni same way it was functioning, need private donors with no stipulations.
- patrik: conceptually difference between dedicated paid staff and doing everything with volunteers. all on volunteer labor doesnt work
- G: conceptually anarchist, but have to change structure a bit to get that funding. crowd funding and private funder could do that, but with reputation right now not possible
updates on efforts to get a loan / save the building
- What are the current efforts. What are updates from folks working on them. What are efforts we should be pursuing.
- marc: i want updates from everyone on what they're doing
- patrik: last we spoke there were 4 options:

- 3 & 4 were people's programs or City in Motion buying co-ownership of building

- jenny: then by that token neither should most people in omni collectives.. not the point. bolstering wg activity is not 1-to-1 related to member collective activities..
- dominic: my suggestion about finances. if how much you have to owe, put that number together, pay them off. building whole other entity
- G: used to have bookkeeper, now we dont.
roof situtation update
- CCL had two large tarps on roof. Had to remove them because of very high winds. Now we have leaks again...
- discussion about ~$150k for full roof fix, also smaller emergency interim work. drain install plus more patching.
Interim ED job description/responsibilities, leadership structure
- yar: Jamal is withdrawing his application. he is frustrated by omni and considers our org to be harmful and racist and says he cannot fix it.
- patrik: anything new since last time we talked to him?
- yar: he just called me an hour ago to say this. the delay in hiring him was partly the problem. he also thinks we are too dysfunctional and don't respect his experience and credentials enough.
Marketing campaign
- G: " We are Omni campaign" with pictures. multiple statements. would like a cohort of people to help push it. should have up to 5 individuals with great success stories, to do storytelling with images and words. would like something ready to go out in a month. +1
- dominic: what do you imagine it bringing in?
- G: control the narrative of what omni is, right not a good reputation, this is a chance to show our impact to the community. theres one a response to omni, but also message of who we are and what we do
- pallavi: right now not an awareness of who people doing work in building are
- dominic: do you do anything out front? other than giveaway, like car washing
- paige: just town fridge
- dominic: car wash, bring people in neighborhood
- G: people dont even know omni exists
- pallavi: omni faire on the 25th. two weeks out from that.
- dominic: from outside, i didnt know what this building was. patrik saying we put a big calendar, on the building, digital or poster
- G: we have a calendar on website, but listing dont have any info other
- alex: have had problems with things getting destroyed.
- dominic: if people respect the space, not gonna get destroyed
- jnny: ...things on street will inevitably get destroyed..

- G: right now form for events, approved. ideally events calendar would be place for marketing to grab from for socials. ive been messaging phil on how we can make it more streamline, process could be automated. right now looks disorganized.
- G: because in crucial moment, would like at least to get calendar looking complete. theres a lot of events. its a bad impression people wouldnt need to have right now.
- silver: i was manually putting that, translating to airtable. wish was easier way, lot of labor.

Cease & Desist
- G: in response to boycott, Donna suggested we get a cease and desist. defamation, harrasment. something we should do and vote on.
- alex: would this open door to legal things we dont want to deal with?
- G: dont think it would require more legal action. just more paperwork
- John: introduces himself. cease and desist between individuals is generally not a good idea, seen as an escalation. once you escalate, look at current political landscape. any litigation is to be avoided, because ramps things up. that being said, i dont know scope of reach, in terms of how much impact it is having. does it make sense to leave it alone and die down, or would cease and desist cause it to blow up. relationships not built by litigation, but rather through working building community together.
- patrik: i think highly unlikely to change CLP behavior
- alex: you think , G, it would?
- G: they have been messaging all instagram followers, have messaged people mentioned in meeting notes, deb gives. incessant, and impacted our ability to throw events. volunteers, people coming to media lab for example, hear about it and then leave omni. been on forefront seeing this happening real time. no work to address this, cease and desist just one suggestion
- yar: not blocking anything, see where cease and desist coming from. but think its only going to make things worse. anything we send to them, expect it to be posted on instagram, with "look at these white supremacist aligned people, working with police state." theyre not going to stop what they are doing. there are multiple members of clp who are professional paralegals, and they will have field day at cease and desist.+1 as we have seen in past. dont see point of going there. the only way to win an internet fight is to convince bystanders, not the opponent. the community just need to know omni is on their side, if indeed omni is on their side...
- patrik: i think we should get our lawyer involved with this
- G: has he seen boycott?
- patrik: not sure he would have much to say about it
- yar: ya he knows about the boycott. i spent unbilled hours. he doesnt want to get involved with drama
- dominic: whats going on with boycott?
- g: internal dispute with a collective and another group that wanted to join. ended in a huge fallout. super academic.. ounce of truth, but rest exaggerated. silver gotten death threats as a result of this
- patrik: not acting in good faith. now told we are zionists and racists
- G: they are messaging anyone they can, who they know are talking with omni. sucks because about to be in foreclosure
- patrik: they were on the events working group, so they are messaging everyone who has booked events to boycott
- marc: classic trolling behavior, yar might have most experience with this. might be worth tapping that experience

- toan: last week we took a poll. initiated as a poll
- patrik: straw poll, but marc left at that time. can we take a vote
- yar: i think it would be good to get this on the record from all member collectives
- paige: clarify, this vote doesnt exclude tenancy

- toan: someone should relay that information. also as you said, option of tenancy.
- patrik: and include offer for space for holding events
new member process
- yar [in notes]: one idea that i had for new member collectives, is that for the first 6 months they could be removed by a simple majority vote. then after 6 months it takes consensus minus one. that way they're still a full member, and since the main concern is about maliciously blocking consensus, that can be more easily overridden.
