Who volunteers to go check if there's mail for Omni right now? This agenda item is part of the meeting notes template.

Fiscal sponsorship

  • Philip B: Should Omni even do fiscal sponsorships? Might be safer to wind down the nonprofit
  • Paige: we shouldn't be sponsoring new projects (e.g. CC) without volunteers to keep stewarding the omni nonprofit. Already have Free Store, SMAC, LL, and SR.
  • SL: Sudo voted to sponsor CC; it was my understanding that CC would then be fiscally sponsored by Sudo Room once they become exempt again; so this is temporary ; Super fucked up to say no imo
    • Paige: yes they have, but CC asked omni to sponsor given SR doesnt have their nonprofit status yet
    • Patrik: There has also been concern about sponsoring CC as a one-person project. Worked much better in the past when there were some other SMAC members that could contain the chaos a bit: make sure irons were getting unplugged after meetings, cloth didn't accumulate on the floor for rat bedding, etc... Would be more comfortable having 1 or 2 other people on the fiscal sponsorship paperwork besides CC.
    • Paige: CALLI said they would not rent the basement to CC this year. hopefully SR would have their nonprofit by then. don't see the point of Omni sponsoring now especially given the space concerns and lack of volunteers for running the nonprofit going forwards.
  • SL: if there were 1 or more sudo members who would be involved with the sewing area, would that alleviate concerns?
  • Toan over email: Regarding CC's request for Omni's sponsorship, FNB have asked for a written proposal and have yet to receive a response...currently not in favor due to lack of communication but not a block.. Regarding Omni's 501(c)3, I have spoken with members of Liberated Lens (Anka, John) and Free Store (Wynd) and they're interested in taking over the non profit. Details need to be discussed amongst them and us of course.

Sudo bylaws

  • Sudo still has bylaws from its old 501(c)3, which were based on CCL and Noisebridge: https://sudoroom.org/wiki/Bylaws (also with voting members)
  • Patrik: I believe legal minimum for quorum of voting members is 1/3, which can be difficult to achieve
  • Concern about meeting legal membership quorum of 1/3. One proposal is to have active vs inactive members, or voting vs nonvoting members.
    • Patrik: does inactive members essentially create a second category of non-voting members?
    • suggestion from SL for Sudo: Members become active for voting purposes after 2 meetings. Members who miss 3 of the last 4 meetings become inactive and don’t vote. Members can vote/attend electronically

Omni finances

  • Need to renegotiate liability insurance from Omni to be much, much lower! Current annual liability premium is $6552/yr - more than $500/mo! CCL is paying $400/year.
    • William will reach out to Sudo signal group to ask for help with this
  • Patrik: Quick back-off-the-envelope calculation: if Omni expects to fund that $6552 yearly liability insurance premium out of the 8% fiscal sponsorship fees they collect from projects, those projects would need to make $82K per year, just to make sure Omni can cover the insurance!

Hellman Foundation Progress Report Overdue

  • Tamari (by email to Jake and Pallavi): I am writing to give you a reminder that Omni Commons had a report due to the Hellman Foundation on 3/15/2024. This is for the $50,000 capacity building grant. Attached is our award letter which outlines the reporting requirements. Please don’t hesitate to reach out should you have any questions.
    • Sarah: I think Pallavi was supposed to do it, or rather, people assumed as the fundraising consultant that they would do this? I think I offered to do it if no one else had the capacity. But I don’t remember if there was a decision.
  • Its in interest of all groups to have this filled out so they might get this grant again
