Finances
- Paige: paid Sarah's tax bill. Also asked her to do 1099. Insurance company checks coming in totaling $2089.38
- John - other than $100 Omni gets from LL, also funds from film project. Oakland Privacy check from Rose foundation has not yet come in yet, that will be $2500.
- No progress on finding new insurance provider that is cheaper. Patrik suggests getting on same plan as CCL. Omni nonprofit should be smaller
- Paige - not smaller yet because still covering SMAC and Sudo Room
- Paige - could let plan run til april?
- Patrik - better to switch early to save money. Or get quote from the one CCL uses, and use that to negotiate with current insurance cover.
Fiscal sponsorship forms
- Paige - based off donations vs all revenue
- Patrik - yes we saw this. For us membership fee would not be considered a donation
- John - grants and donations at 8%. LL is doing film production too, I would consider that exclusive revenue to the collective to pay the workers
- Patrik - could also make things specific, like rates different for membership fees vs classes.
- Books - for fractured atlas, they apply rates differently for donations vs ticket sales
- Consensus on % taken from all income or just donations? No - but decision should be made by the groups sticking around
- Paige - Free Store would pay the same amount either way because only donation based. Only concern if only based on donations is that bookkeeping harder, relies on more trust of groups to document things
Bylaw changes
- Toan - FNB open to bylaw changes but uncomfortable being the ones to agree to change the bylaws to have nonpublic meetings.
- Patrik - 3 levels - meetings, minutes, or record of meeting be open.
- Toan - to me its weird to having closed meetings under the name Omni Commons. So as I said last time, I think there should be a name change or a message to the public of what is changing.
- Patrik - also do not need to make all these changes all at once.
- Books - I like what you are saying Toan. I think its righteous for lack of a better word to give that notice
- Toan - once delegates replaced by new board, you could change the bylaws right away.
- John - my question is with an Omni commons that no longer operates the building, and has a much smaller number of projects, does there really need to be that sort of public accountability structure built into the old omni commons, with all of its collectives. I think likely there will be confusion between the old and new omni commons, but I think the project is really different. I don't think the representation through a delegate structure and all things public will be necessary for the next project. I have a sentimental attachment to the old organization, but now seeing it as a necessary corporate formation to keep doing the work we want to do. I think public meetings and public accountability are good. But I don't think we are in that project that started with occupy/radical different way of running a building
- Patrik - no harm in leaving the public requirements in the bylaws for now, letting new group decide
- Books - could have some representatives to join the meetings to represent the public
- Patrik - I propose we accept the bylaws, but keep section 21 on open meetings and open meeting notes
- Yes - FNB/Toan CCL/Patrik LL/John FS/Paige
maintenance closet
- Paige - I made a doc of all the tools. Will talk to Valerie. Some confusion
