intros
BRIEF INTROS MAY INCLUDE: name, pronouns, groups you're in, land you're on, if you're a delegate, unmet access needs, meeting roles you'd like to help with, discussion topics or proposals to add to agenda, announcements/updates/report-backs from your groups, safe space issues or updates PROMPT people to share contact info in the chat, so we can stay in touch
- alex - not much to report from SR, agenda items are: 1. tax issue, $100k+ due in april. couple suggestions, first to contact CAST. I can do that, or if Pallavi is available to do that? 2. idea contacting our county supervisor, getting someone with political sway to at least get a decision on our exemption. 3. loan was advice from the lawyer but dont know if that is feasible.
- toan - FNB delegate. update from FNB, been coordinating with food bank, going to our kitchens, and theyve come to inspect omni. everything went well. reminder that FNB, 501c3 helps, some of the bureacracy necessary to make things worth. in omni, we try to be horizontal but have to find some middle ground to go through the nonprofit status. also i requested some donations from FNB to pay property tax, and thats still pending
- paige - here to take notes
- patrik - delegate for CCL. had leadership elections, theresa is our new president. not too much turnover, but one new board member. CCL did approve to pre-pay one month rent if needed for may in early april. if we are owing 120k that wont make a difference.
- arlo - SR member, not a delegate. i showed up to advocate for jake on the question for whatever conflict may be. i volunteer as mediator. jake was asked to not come to meeting but has some documents for bank things.
- patrik - old accounts at different banks that need to be closed, can close by someone on board, who they have on file right now is jake. that is reason for these documents.
- Philip - events wg and city of motion events. agenda item, foreclosure update with trust and CAST?
- marc - or juul, sudo mesh delegate. update from SM, we're meeting new people every first tuesday of the month. can go to SR to ask where we are at because moving. 4g LTE network, buying some test equipment for that. working on new revision of sudo mesh firmware to bring things up to date. agenda, SM doesnt have anything
- lea - mediation was refused, arlo before said would not be a good fit
- dom - this sunday youth program fundraiser. wed open mic events. want to bring up our rental. have a non profit that wants to rent?
- silver - events wg, want to give a report back on finances
- ruby - smac delegate in here in place of pallavi, no agenda items
Finance report back from Silver
- Hired new bookkeeper
- Need collectives to pay forward to pay loan, but that will impact all the other bills, like how we pay for mortgage
- Hired Jeanette and Dom as new event stewards. Will keep payments within 20% events income, might be higher than before because I was doing some volunteer
- Pickles still paying $200, coming up with agreement to still do events out of there to subsidize
- Stop waste grant for media lab and free store
- Sarah / Yar tax exemption tour
Foreclosure update
- Ball is in CAST's court - working on an MOU. Shreya will contact us. We need to send followup
- Update for Mulberry Trust?
- We should be proactive and send them regular updates. Who can bottomline? What to report? Trying to finalize with CAST.
- Alex - doesnt seem to be much forward motion with LLC
Property Taxes
- A couple of suggestions from sudo room meeting:
- Contact CAST and bring them up to date on it. Alex or Pallavi could do this (suggested by Alex)
- Contacting our county supervisor to get someone with political sway to lean on county to at least get an exemption
- https://drive.google.com/file/d/1I1kpF9Z12t-_7b7jqi_9Zu4tKAZw2WGj/view?usp=drive_link
- THIS IS A REMINDER THAT A MINIMUM PAYMENT OF $100,187.22 FOR INSTALLMENT NUMBER 2 OF 5 INSTALLMENTS UNDER THE FIVE YEAR PLAN FOR PAYMENT OF PRIOR YEAR DELINQUENT TAXES IS DUE BY APRIL 10, 2024 FOR THE ABOVE REFERENCED PROPERTY. IF YOU PREFER TO PAY THE BALANCE OF THE PLAN IN FULL, REMIT $ 281,158.11 BY THE DUE DATE OF APRIL 10, 2024
- $20K due by April 10 for our second installment of this year's property taxes.
- Plus $100K for our next installment paying back property taxes!!
- 2 years ago hired lawyer once we realized those taxes accrued. took years to learn there was error on our side.
- Alex - instead of 20k, because of payment plan we were surprised to learn we owe $120k. clearly dont
- Patrik - so high because it has couple thousand of interest each month on the back taxes
- Patrik - LLC idea could be used for this purpose. Would be good if infrastructure for LLC was set up, but I think it hasnt because that takes money
- Alex - besides option of getting money, theres option of getting exemption.
We should be doing work on both those plans
- Patrik - Put political pressure on elected official (as recommended by our pop tax lawyer). Peter might be able to help?
- Marc - set up meeting with everyone we think can give advice on this. if bringing in lawyers, should not be talking about how to raise money
- 2 lawyers, Sarah, David K, Peter, Kyle (former lawyer involved at SR), CAST?
- Marc - set up meeting with everyone we think can give advice on this. if bringing in lawyers, should not be talking about how to raise money
- Patrik - may want to ask CiM, they might be able to do a smaller loan. likewise people in contact with PP could ask them
- Ruby - I know Pallavi has been in communication with CAST, Pallavi is observing Ramadan so only certain hours to do things
- Alex - Im happy to write an email today or tomorrow, but what to focus on?
- Patrik - ask their time frame? Do they have any short term solutions for this?
- Paige - can we go through CAST with personal loans? to get around LLC thing
- Patrik - that was done early on. loan contract jesse can write up, dont necessarily need an LLC.
- Alex - can we contact agency directly?
- Yar: Christina recommended contacting Phong La, the elected county assessor. he's a politician and they report to him.
- Who should contact? Sarah would be best given how much she knows of financial situation. New bookkeeper doesnt have the background. Christina and Sarah most important to be there if possible. +1 board member (Alex and Peter willing to join)
- TODO:
- Contact CAST - Alex (Patrik can help draft; loop in Pallavi)
- Contact Philip Bell to see if CiM may be abe to help with short term loan - Patrik
- Contact elected representative - Alex can draft, Paige + Peter
- Keith Carson, Alameda County Supervisor for District 5?
- Contact Christina to schedule meeting with Phong La - Alex
- Contact Jake to see if LLC or large lender can give loan - Alex
- Contact other interested parties (DK etc) - Marc
Conflict steward
- Request from Angela. Ideally someone from within sudo room since this is a conflict between two sudo room members.
- Definition of Conflict Steward:
- Facilitates the conflict resolution process according to the Articles of Association, but not necessarily a moderator.
- Stewards selection of a moderator and schedules meetings among conflicting parties and moderator.
- Documents meetings and communications relevant to the conflict resolution process.
- Promotes good-faith participation in the process by conflicting parties on a basis of mutual respect and growth towards better relationships and a stronger community.
- If conflict resolution goes before the whole group, co-facilitates with Facilitator, and handles points of information about conflict resolution with reference to the documentation.
- Does not act as Conflict Steward in conflicts involving self
- Marc - conflict steward takes care of bueracractic things, making things move forward, find mediator both agree with, and report back to ideally not the omni meeting, but the sudo room meeting
- ruby volunteers to be conflict steward. friends with jake, knows angela through community
- dom - who's the mediator?
- angela - been going through SEEDS but denied, have professionals but jake not contacting
- dom - if not contacting?
- patrik - role of conflict steward to keep that going, if one party refuses then brought to sudo room or delegates, and next steps decided. can be decided to be a ban
Room rental
- Dom knows of a nonprofit that wants to rent a room?
- Dom - friend has a youth program, wants to use the space for a summer program. learning program where they go on trips around the area. I told her the small office next to me is available. Other than that, she wants to come in and meet with you can. From east oakland, wants to come and rent space. Jessie Bobbie Hall dream youth foundation
- Patrik - we've talking about $1/sq ft as ground minimum, like in basement, whereas other rooms with windows or better access charging more
