CAST followup
- Pallavi - PP gave permission to be put on LOI provisionally on review of language. They would not be able to provide capital by tomorrow. So they would have to be a copartner with CAST. Since we havent figured out the governance pieces, it would be more productive all parties able to join. Because CAST wasnt able to join I think it makes sense to postpone
- Patrik - havent got response on more specifics of full reset
- Pallavi - yesterday said more non profits, traditional hierarchial structure involving a ED. Im thinking if we have to have new bylaws, everything regarding goverance, who member collectives are and delegates.
- Patrik - have stressed that they want this a collaboration and discussion with who we have here. Affordable but sustainable.
- William - more specific that they would be hard ass on code violations and people in the building.
- Pallavi - Mulberry is requiring a LOI from CAST, not us. Ken will send that language for us to review. Letter of Intent is to state CAST would take on responsibility to debt, and have 80-120 days to figure out roughly 900k. It would also include intentions for changes they would like to see. Also would list potential co-partners. CiM and PP reached out to be listed as potential co-ownership partners.
- Paige - should we have CiM here?
- Pallavi - Ive updated PP. I think its good for CiM to get the same information. In order to come up with enough capital, would need to be secured 80-120 days within foreclosure announcement. CAST said until the full money we owe CAST is paid off, their role would end. The number of partners we have to come up with cash, shorter timeline required to be engaged with CAST.
- Patrik - that being said, CAST said we should aim for an additional $1m to renovate building
- Pallavi - would like to see a breakdown of that budget. Have been hearing a lot of different numbers.
- Philip - ballpark $500k for absolute necessities. Sprinkler system would have more in peace about building, and could mean more varied furniture and larger ballroom
- Pallavi - CAST said we shouldnt be paying for more furniture.
- Philip - yea but people donated couches and we threw them out
- Patrik - $150k for roof quoted. That would be rock bottom solution. From what I vaguely remember, David K. said sprinklers are expensive because requires separate water supply. $50-100K
- Philip - could be done in stages, like start with ballroom
- Patrik - separate water supply is the big funding part
- William - if we are talking about CAST, they said they could just ad hoc add amount to loan
- Patrik - right but that could be split with PP or CiM money bring in. Bigger the loan, bigger rent/sq ft we will be paying
- William - we are talking about options that are interest free?
- Patrik - CAST has said they have had luck getting grants for building upgrades.
- Pallavi - Shreya said they consider resilency hubs part of culture, after Ken left

- Paige - my understanding can get funding to become more resilient
City in Motion
- Patrik - I invited CiM because I thought PP would be here. But also was confusion about whether there would be BIPOC and LGBTQ leadership. What programs would bring in for events, and what kind of loan they could bring in during our timeframe.
- Philip - there is some info from Omni that I need to get as apply for funding. How I put together proposal is more about immediate action items, rather than future planning. I have not heard a clear idea from delegates what vision is for the building. What I would envision, I reached out to CAST, because I was wondering how would this building remain community accessible in 100 years from now. Because presumably none of us will be involved then
- Pallavi - question about org structure and leadership. One of their asks is that leadership is QTBIPOC. Fuzzy of what is leadership. Seems like they consider that to be officers. Are you a LLC or 501c3?
- Philip - working with an attorney for religious org, made sense why he sets those up. I take full financial responsibility. When dealing in activism , can deal with issue. I shield my community. Anyones contribution doesnt have them deal with online attacks. Legally its just me, but I leverage wide group of people. No hierarchy other than various projects people work on. Everyone in network contributes as they want
- Pallavi - do you make profit?
- Philip - no. I pay my staff market rate and up?
- Pallavi - Hafsa and Shaye, do you consider yourself staf??
- Hafsa - yes do you have specific questions
- Pallavi - CAST made very clear that leadership should be QTBIPOC umbrella. We are trying to figure out if that actually applies to your org. It seems that on paper it would not, but if you could speak to your level of involvement, and if you would consider yourself leaders, or influence over programming. Do you consider yourself equal partners in leadership?
- Hafsa - I would have a question. Im not clear if the obstacle is that, that Phil has name on it, that allows shielding. If that is a stumbling block to being QTBIPOC led org, right?
- Pallavi - yea whats on paper is
- Patrik - CAST has said not absolute requirement, but a priority
- Pallavi - Idk if said in our meetings, but with Shreya, their priority is majority ownership QTBIPOC. So still possibility of CiM partial but not total
- Shaye - why? trying to match skills to. Persons identified ethnicity
- PAllavi - goal not just the space
- Shaye - let me finish, if goal to keep space under current type of leadership, what are those requirements and why?
- Pallavi - CAST mission is to keep buildings in hand of the most marginalized of community in the area. QTBIPOC from Oakland, marginalzied due to gentrification. about cultural equity, making sure neighborhood served by people living in those neighborhoods, and knowledgeable
- Shaye - theres room for me to say, we all have equal leadership, but also want to be transparent about Philip Bell. Hes a resident he lives there, we live there. Looking for something more concrete other than paperwork, of why we are going down this route. You want QTBIPOC as representation, that could be discussed in transition, but shouldnt be only thing about who can help prevent foreclosure
- Pallavi - going off discussion with CAST and whats listed on website. If you would like to know where that stands with them with this building, your welcome to ask those questions at larger meeting we have with CAST.
- Patrik - again, these are priorities, but not absolute requirements
- Shaye - your question is heavily relayed on someones identity, vs. just what org can provide to keep community center going.
- Philip - CAST good fit in seeing how we can go on for next 100 years. I dont know that they will just leave after paid off, given Omnis historic way of running building
- Patrik - thats how they operate. on the longer timescale, like 7-10 years, they exit partnership once confident communities can sustain themselves
- Hafsa - curious if Omni is majority BIPOC led? and would like to hear more about that?
- Patrik - not all collectives in Omni are. CCL is scientific led, always lacking in BIPOC representation, because lacking in field. Looking to work with CAST to do more b outreach to black and brown communities.
- Toan - we are mixture of different ethnicities, more white people, but are POC that are bottomliners, they are seen.
- Pallavi - in terms of actual numbers of our board, 4 delegates QTBIPOC, and 3 dont. If you want to consider officers, some of those are still missing. President considers QTBIPOC
- Paige - i dont know. definitely QT but not sure that white QT in QTBIPOC
- Philip - my general vision. Foreclosure threatened in november or december, and feels like not much progression on that topic
- Patrik - taken us a long time to get here in discussions with CAST. Maybe didnt explain urgency of situation with CAST for quite a long time now
- Pallavi - I think they were waiting for us to get official notice of foreclosure, and because that didnt happen, there wasnt as much sense of urgency. Once they found out, and reach out
- PAige - not enough people on board
- William - what is your question, why is it relevant
- Philip - PP offered to handle building, CiM did, CAST did. If you agree to someone coming in taking responisbility for financial, theres a spectrum of you hand over and become tenants, feels like what collectives do now, or far end, that whoever brings in finance is supporting Omni, in how they want it utilized. I dont think theres agreement among Omni members of what that vision is, or even what there is to repair. From my proposal, I was having requirements on accountability and bylaws, theres been no progression there to my understanding. No document of what you need to work on, what needs to be done. Even if tomorrow loan paid off, continuing as is wont work.
- Patrik - none of us have been building like this before, dont know how its done in another setting
- Pallavi - I would like to name that CAST dreaming spaces link in chat. That literally is what CAST offered to do with us. Their main focus, not to take on debt, thats favor, their original intention is with visioning, revenue generation model, governance. Thats why we have held off because we didnt know who are partner would be, now we know so can use that to facilitate conversations that are dire to be had.
- William - are you saying you need that before you can say your vision
- Philip - even when Silver just gave me a tour, after few months of volunteering I saw things needed to be done, but I figured Id just support when I could. obvious to me that it should be relatively easy to me when fully utilized, and when people know about the building.
- Pallavi - I can share language we use when talking to community partners, collective of collectives working towards self-determination. 3 cores pillars, development of competencies and interconnectedness and autonomy. I feel every collective here embodies those values. Envision that as guiding light for conversations we are having.
- Patrik - would love to hear concrete governance structure advise, Philip. Usually comes down to needing more paid staff, but catch 22. Obviously need ED. CAST wants onsite property manager. Again need funds for that, would have to come out of increasing rent, etc.
- Philip - I dont think rent increase needed, just more renting. Just need more funding to make more usable. As far as governance, consensus - 1 has been exploited before, and will in future. Can have safeguards around majority
- Patrik - have made some changes. Consensus-1 only for bylaws, but we try to do consensus voting for everything.
- Toan - in bylaws, majority
- Philip - accountability system now is complex. no in charge of making sure things are executed. A lot of issues at omni are not novel, we do not need to reinvent the wheel on most things there. Doesnt need to be a whiteboard session. CAST can probably provide more detail. Most community centers are 1/3 the size, the communication and interactions need clear ground rules that are followed equitably. How do we share space. Goal, we save building, and building is full from 8am to 8pm. Need clear expectations.
- Pallavi - in terms of accountability, are there people you think should be held accountable? or what do you mean by that?
- Philip - I think a lots been handled, I. been banned, J. seems to be taking up less space. Accountability not just in safety spaces. Public statement made, lot of work into it, but not published. ACcountability is who is responsible for thing. Like right now, who is responsible for soap getting refilled? I know yar and paige doign things like ordering supplies, but going forward needs to be more clarity on that going forwards. I know people not hear against, but right now Omni has no paid staff

- Toan - on accountability, help if theres more accountability and follow ups. I think we are slacking on follow ups. Is that something CiM would do here.
- Philip - EBfusion, have reputation for safest events, have strict guidelines for what happens in different scenario. Making sure that before something bad happens. With I. and T., clear people didnt know what to do so they just came up with what they thought to do. Glad it didnt get worse
- Patrik - would you only be scheduling dance events?
- Philip - vision 8am people get food they need, 9am they would get activism meeting. Dance events, thats how we get meetings. Goal of having a therapist or lawyer in building. Everything me or my org would be doing, would be in service. Stewardship means working with everybody in community to see what is needed. Balancing, if building full, part of discussion on basement kitchen. Leveraging network of those who can teach food skills. Now gatherings can work with group learning kitchen work
- Toan - FNB has food bank partnership, and lots of inspections. food storage here got passed.
- Toan - question for CiM. Some protocols you set in place for Omni, are you open to those being changed?
- Philip - I open source my code of conduct. Draft I started with was with attorney and insurance person in dance. Zero tolerance, if you make someone uncomfortable youre out. I would provide draft, ask you to do what you want with it, and someone on CiM would enforce
- PAige - Hafsa and Shaye?
- Hafsa - Ive been workign with Phil for many years, first to teach, has evolved to helping with events in SD and other projects, such as consent card for dances. This was something we spent a lot of time, what does it mean to feel safe in dance space. Really like my structure of work with Phil. Theres a way he takes on risk that I dont want to. Ive been involved in organizing work, 2019 strike at UC, but fell off. I will be hanging out and working with Phil on a long term basis. I got my own projects because I teach, but I love dance and thinking about community. Happy to answer other questions about our work. Does that answer your question Pallavi?
- Pallavi - you said you are a dance teacher? what form? I am a grant writer for artists, interested to hear about forms in terms of collaboration. I work with hop
- Hafsa - Im teaching in other ways, and a lot of things I think about in terms of political education that overlap with Phils work. Not a dance teacher
- Philip - weve collaborated on community level work. When I had her teach in person, our org also has had waves of finding out how to make space more welcoming to POC
- Shaye - known Philip for more than 5 years. I work behind scenes on mediation. Background in wellness, behavioral health. Started out with athletic training, rehabilitation. Learning more about trauma and mental health. That led me to taking private clients, but also roles in project management and reconciliation. I work on site, welcoming joining, checking in with their health. I also work in and out with people in org supporting their own personal journey. Services when there are dance workshops, for anything involving mental health
- Pallavi - I can see why Philip chose you to speak today, because you are well versed in all things we lack at Omni. We really need guidance and wisdom to handling conflict, in terms of interfacing between QTBIPOC and non QTBIPOC. lots of perceived hostility of that nature, in my perspective as POC based of historical bias and white supremacy. Large desire and i think among community, how to unsettle colonialism, dismantle white supremacy. starts within our individual organizations. I think we can make impact in the community by setting a good example
- Shaye- I want to jump back in there, your talking about proposed re-org, one of those things needed is team development. I dont know a lot, but high level addition, a lot of staff needs to be trained on what can be a culture where people can feel safe. that involves everyone being retrained. Conversations on talking on past ways, and new ways. Building management would be really useful. That safety needs to come with well maintenanced building. Money important, so a lot of this work is gonna require everyone on board, go through some DEI conversations.
- Pallavi - strong feeling CAST agrees with
- Shaye- how you all are communicating together, to give back to oaklands community, help homeless, help volunteers have safe space, new type of training that will inspire people to volunteer, can have on site healing. can increase amount of time volunteers. how do we heal team currently there, working on same page so we can do best overall. all agree space needs to be reshaped and redesigned. need to focus on how to get more collectives and renting. Requires us to all come together, come up something for future and leave pass behind. Safe space but got to work with people right now.
- Pallavi - thank you so much, i think in terms of what you are saying, i need to leave meeting soon, but really want to vision around curriculum and programming. would like to schedule a meeting to create visioning for grant proposal.
- Ruby - thank you pallavi and Hafsa and Shaye, question before i launch into what i planned to say today. my question, I like what Im hearing from CiM. Is CiM in a financial position to lend the money to basically save the building at this time?
- Philip - not tomorrow. CAST was my 3rd option. I put in my original proposal, if PP brings in $1m, I bring in $1m, that covers debt and all renovations we need. I believe its not we just need to repair stuff, we also need money on hand to pay people. Need W-2 people. Bay area law requires thing
- Patrik - even if we dont have CiM financial, do need events management team. That could be CiM role
- Pallavi - what percent ownership?
- Philip - need specifics from lenders. If debts taken care of, building as collateral makes it easier.
- Patrik - CAST would impose deed restrictions, so that might change the value of the building as collateral
- Philip - right before that, would work on getting funds for down payment. Movement on building improvements. Im aiming for no ownership percentage, but that depends on lenders. Try to get loan just off business plan. Shouldnt take that long, if successful of filling up building to pay off that loan. Something working with CAST, if ended up that CiM had to take on ownership, CAST or Omni could absorb back. My hope is 100 years, that building exists in some form.
- Patrik - counterproposal, to PP was co-owernship would be percentage of how much contributed compared to
- Toan - so you have no ownership in building
- PHilip - personally no, but quickest option is striking loan. If its worth 4million, would only need 25% ownership for loan, but all hypotheticals, will get those answers.
- Patrik - my understanding CAST has experience with complicated loan situations with multiple lenders and partners
- Toan - ok, youre interest in owning only as a necessity?
- Philip - me and CAST share same vision, get building into a way where it can run itself then step off. Thats my history, try to work myself out of a job
People's Programs
- Ruby - are we still considering PP as a collaborative or multiple lender situation?
- William - I think we are in listening to proposals stage
- Patrik - I suspect that people who had concerns about PP might feel more comfortable with them under CAST leadership.
- Ruby - what i have to say is vulnerable. I think have been really tense at Omni Commons, since ive been here, like 8 months ago. I remember being here when PP came, after some emails had been going back and forth. Im bringing it up because Ive heard a lot of talk back and forth, about you know through the grapevine gossip. From what Im hearing from anyone who is not from SMAC, theres a lot of mistrust of PP. Wanted to speak up to that, as a white person, as i know how i responded in meeting. from what i observed, felt like they were confrontational, didnt love it personally. i felt i dont need to speak up right now because none of other ccollectives will go for it, thought it would be dead in the water. but i do want to talk about it, if they have the money and have been interested in it and continue to, and have expressed interest as keeping it basically out of hands of developers, within community. they do seem aligned, at least on the outset with existing collectives. then theres discomfort of their approach. despite them saying they have conflict resolution structure in place that they use to address conflict internally. PP called out racism they were feeling from members at Omni. Fear of being called racist, dont want to align with someone called racist. Uncomfortable in that room, heated space. Ive hear from other white people at Omni that they also there big thing was they came and called everyone racist. I do get that.
- Toan - to clarify, which meeting are you referring to?
- Silver - one in basement, delegates meeting?
- Ruby - At the same time, important for me personally to sit with that. Question myself, what were they actually saying. Theres work that white people at Omni could be doing to try and question. I know there are some people who are, but other people could benefit from certain books. Im working on it, I dont have it down. Trying to unpack and unlearn my own shit. Might make me uncomfortable if someone raising voice, but also ive learned that tone policing is something white people do to shut down conversations with POC when they are uncomfortable, when its actually white fragility coming up. Hope that people are doing this work, but I think there is sa disconnect im seeing here between those who are white and those who are BIPOC, would love to see more dialogue about those issues. My collective just offered a restorative and transformative 4 week series, led by Vian and another person joining SMAC, and hoping to running it again. I think those are the kind of things we need to be considering and working on. Thanks for hearing me out. A lot of what was mentioned earlier by Shaye, lists work we need to here. We are considering PP and what Ive seen this "anything but PP" but they also are only group that has that money. One of our collective members Tye is in a cadre at PP. They talk about work being there. All this has been said by Pallavi and Silver, not new. I have massive respect for Tye. Im not that familiar with PP but I have respect for Tye, and have heard Tye saying they are there for the community.
- Toan - yea I think it would be helpful to have some sort of system in play, that if something like that brought up. Whether if it someone trained, to respond to it. Right now when things like that happen, hold it in and talk amongst ourselves. Could be helpful but could also escalate
- Silver - love idea of whole org reading me and white supremacy. all have different definition, if we have same definition can help us navigate.
- Daniel - I would like to add, something ive noticed, someone has a lot of knowledge on these topics, they forget that everybody else is not at same skill. it should be a sense of understanding, of being kind or some letter of understanding, not be so harsh on someone making a mistake that they didnt know was wrong, or racist in this case. IF we have that openness, people will stay. this is my perspective, everyone has their own opinion. in other situations outside here, everyone expected to be at same level, and person just dismissed. But might want to be there and get help. took me 3-4 years to realize that we are on different levels. thank you for sharing ruby because its hard to express things like that. even myself, i dont speak that much because im learning from whats here.

Mortgage payment & general bill payments

- william - would like google drive folder for reciepts for important payments. for visibility. like mortgage payment
- silver - we use great software QuickBooks. Didnt have active finance WG. New bookkeeper made a google sheet, pinned in on finance slack channel. Constantly updating it. I think its matter of supporting Myan.
- william - payment made shouldnt be gatekept. should be able to be seen in first 3 days.
- silver - issue because bookkeeper getting onboarded, i was recovering from harm from I., and
- paige - does spreadsheet seem sufficient?
- william - we want visibility from anyone on board.
- silver - could make all delegates added to quickbooks as viewers
- william - we should all have ability to look at it.
- Yar - maybe quickbooks / slacks integrations.
- Silver - before doing a lot on consensus, got oversaturated. But we should do report backs.
- Yar - Slack, would be easiest to just keep whoever they are active

- Silver - taking accounting classes, usually need someone to approve someone getting paid. One other person for accountability purposes. Keeping us within our budget range. Passing off baton to Janet. PHilip has been a lead, Domnic and Anka. Janet is going to be making

- Daniel - im confused.
- Silver - a lot of hurt that yar has experienced. Think officers is not as important. We take omni seriously, lot of things that only us two are in charge of. Feel very wounded by omni in ways that should be acknowledged.
- Ruby - thank you yar for showing up at the meeting, volunteering despite how you are feeling. Personally it would be a huge learning curve for me to volunteer. Thank you Silver as well because I know you are wanting to step back.
- Patrik - officers check that things dont fall through cracks
- Yar - omni should find someone to do both, but in absense, one or other is sufficient
- Patrik - omni commons as entity, not much more than working groups. collectives

- Patrik - more active role. LLC where they have majority vote. We would presumably have some membership. that LLC would manage loan payments, property manager, things like that. We would likely see all rents going up. Ken initially said minimum of $1/sq ft., but yesterday said need onsite property manager, which would add 20cents per sq foot
- Yar - if existing collectives can handle and still
- Patrik - if food pantry, has to be budget with grants to handle it, and if not there then cant do that food pantry
- Yar - easier if structure to get those grants. buys us time to figure shit out

- Patrik - only way is to do it is through CAST, because Mulberry needs that LOI. We just reached out to CiM and PP to get approval to be listed in that LOI. My preference would be to bring in one of those organizations. Does complicate it more, lawyers will have a feast day
- Yar - every day i work with PP I am more convinced they should have a strong presence at Omni. Really use this building in service to the community more than anyone else Ive seen, also with a track record
- Patrik - CAST was also asking for privacy. not sure about meeting notes
- Ruby - to add what i was saying earlier, hard that conversation with PP shut down so upruptly. We couldve been figuring out what it could have looked like then. Clearly CAST is involved, thats amazing, but we dont know right now that PP would do
- Toan - I think we dedicated a lot of time in delegates meetings to PP. There were some requests that we asked that they didnt respond, like resubmitting application, and asking to take down social media from CLP
- Patrik - i think also poisoned from the beginning given past with CLP
- Yar - i also think choices people at omni did to metabolize. i object to passive phrasing
- Toan - im not objecting PP proposal, but voicing some things volunteers said they are hesitant to

- Yar - mail should go to cubbies, free store should move. But things moving slowly. I agree it should move. when we moved Free store was supposed to be temporarily. It would be a lot easier for us if we could just wait until we get those new shelves. Depends on getting the stop waste grant.

- Yar - been meaning to move to new server. new ubuntu out so good time to do it
- William - would like board here, would be able to see communications when they leave. like when regular businesses use.

- William - would like to do phone service. $20 bucks, fast service. For safety issues. Cheaper way to do it would require self hosting. When i set up something like that, want it attached to an email thats not my personal email.
- Yar - most people arent using personal emails right now, because roundcube not most accessible to peoples phones. emails are a pretty centralized space, people use things that have an app developed. because we have our email lists, moving to google infrastructure, it would be a quick thing, but a lot of changes all out once
