Fiscal sponsorships
- SMAC asked CALLI about sponsorship a while back; CALLI said they were not in a position to do any fiscal sponsorships yet
- Should Free Store try to ask too?
Town Fridge
- Toan: proposal for reviving Town Fridge?
- Paige: Yar stepped back; I've been in touch with George and DK. Nobody spearheading. Some volunteers to clean. Have some ideas on making it movable, cleaning schedule, plugging in inside building. CALLI wants some group to sponsor it. Needs inside storage space, lease etc. Seems easiest to have Free Store to take this on. But some concern about that - i.e. if Town Fridge doesn't keep up expectations, could that jeopardize the Free Store lease?
- William: working with CALLI on this?
- Paige: had mtg with CALLI; they are asking us now to give them a proposal. Generally what we have come up with - construct a new metal rolling structure. Chain this to the building. Have daily volunteers to do quick clean (make sure nothing on ground, throw trash) and weekly surfaces clean. CALLI doesn't want it outside while roof work going on. Interested people to help out with the fridge proposal or volunteering can join Signal group or email me.
- Toan: another Town Fridge on 44 & Telegraph; could put up sign directing people there. FNB puts food there twice a week.
- Paige: George said that one will be closing too, for renovations? But yes I think it would be a good idea to put up a sign about this and what happened.
Old Communal Fridge upstairs
- That should be emptied now and not be used by us anymore given that we don't own the building. Last time it was checked there was a lot of expired items inside.
Finances
Insurance
- Estimated cost for liability insurance going forwards (for the fiscally sponsored groups) if on same plan is $6,552 ($546 per month). Seems like a lot to pay for the current groups.
- No update on insurance refund from Brignole. Followed up just now over email to request this.
- Patrik: should also check on reducing insurance premium or different companies. CCL also does not pay for directors and officers insurance. CCL currently has a liability-only insurance policy (no D&O, no equipment coverage) with Liberty Mutual Liability Insurance, for $400/yr. Agent is Prevot & Associates, (888) 882-0688. Other group setting up a new community lab in SF was paying $115/month for $1million policy
Bank accounts
- Paige emailed Beneficial today with board resolution to close NOMA account.
Trash bins
- We've been slacking on getting trash out
- Patrik: is this something Valerie should arrange? At least setting out on the stoop and taking back in again. Groups should empty their own bins in the trash rooms
- Valerie tried to set up a trash committee with Dane. Dane volunteered to take out bins, but may need backup
- Dane over slack - "Overall, I don't mind being the main trash person I think Valerie wants to ensure that collectives & other groups help consolidate the trash & waste to the main containers, that way bringing out the trash recycling compost can go out with less double checking throughout the building"
Sudo Room incorporating advice
Sudo is looking for some good models for new bylaws
- Toan - EBFNB has a nonprofit East Bay Food Justice Project. Officers are volunteers, who also help in cooking/distributing. No members, just volunteers. Decision making done by consensus of the volunteers.
- Patrik: CCL is a non-profit with voting members, which is a bit unusual for non-profits. Involves a lot more logistics. Can send bylaws for CCL and a couple other orgs as well. Plus membership agreement.
- Membership mainly only votes for board members. Membership meeting is quarterly. Getting quorum with members is difficult - IRS requires 1/3 quorum. Members fill out an application and then sign a membership agreement.
- Technically the board members appoint the officers, but straw poll of members is done and that is respected by the board members. Board members decide when there's conflict. Board members serve a 2 year term and half get voted in every year. 6 total board members
- Officers get voted in every year. Treasurer also does the bookkeeping.
- Classes can be taught by anyone - doesn't have to be a member. Teacher given a percent commission (50%?) on the net income.
- Expectation that everyone keeps space clean and label everything. Whoever hosts the meetup or class is responsible for space being clean before leaving.
