I'm writing to recap your legal needs that we discussed this morning:

   501(c)(3) Help: As Professor Kell mentioned, we have a special expertise in helping clients file for 501(c)(3) status. We can always look over your application if you want a fresh set of eyes to go over it. 
   Permits & Licenses: You indicated that you would like us to look into permits and licenses needed to run a cafe and allowing cottage industry vendors to set up stalls in the space that the bookstore was using.
   Contracts with Cottage Industry Vendors: We discussed vendor contracts--subleases and other contracts--you will need to set up the stalls. 
   Bylaws: Also, you would like us to update bylaws and other internal governance documents to reflect your current practices, with the primary goal being to preserve flexibility. 
   Business Plan: You also indicated that you needed help drafting a business plan. As discussed, we will try to bring in an MBA student to help with the business model which will eventually be the roadmap for a business plan. 
   Board Training: You indicated that the Delegates' Council might be interested in our workshop about rights and responsibilities of board members under CA and federal law. 

Please keep in mind that this is only a list of things we discussed this morning. You will be receiving another follow up email with a letter of engagement detailing the deliverables for this semester and an intake memo with notes from today's meeting in the next 10 days.

  • laura: they could also help us with insurance and risk management after buying the building. right now we're just waiting for a contract from them, but we should consider them our backup lawyer besides jesse. then we should start working on our business model right away.
  • we should also ask them about our issues with water drainage from the childrens' hospital potentially damaging the basement and making it uninhabitable

Next steps:

  • Select an individual to represent each collective that will borrow
  • Take a picture for each collective for campaign page
  • We decide which groups will apply for loan first
  • Person fills out application
  • HAve ot get all apps running by 10/23
  • Every borrower lends $25 to another borrower
  • SF Kiva Zip launch is this Thursday at SF City Hall.

  • Reach out to collectives for Kiva Apps
  • Finalize all subleases and fiscal sponsorship agreements [Jenny will get FNB's and contact MPM]
  • Financial Statements from Finance WG [Jenny will attend Thurs if they're meeting]
